1. Agreement to Terms

By accessing or using the Unity Tech RGV website (unitytechrgv.com) or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services.


2. Services Overview

Unity Tech RGV provides:

  • Managed IT Support Services (Essential, Business Protection, and Enterprise Shield packages)
  • Cybersecurity Services (threat monitoring, compliance support, backup and disaster recovery)
  • Web Design and Development Services

All services are subject to separate Service Agreements that detail specific scope, pricing, and service level agreements.


3. Service Agreements and Pricing

3.1 Service Packages

Our Managed IT services are offered in three tiers with per-user monthly pricing and a 5-user minimum. Specific pricing and features are detailed on our website and in individual Service Agreements.

3.2 Billing and Payment

  • Payment terms are outlined in your Service Agreement
  • Monthly services are billed in advance
  • Late payments may result in service suspension after 15 days
  • A $35 fee applies to failed payment attempts
  • Web design projects require a 50% deposit before work begins

3.3 Contract Terms

  • Managed IT services require a minimum 12-month commitment
  • Contracts auto-renew unless 30 days’ written notice is provided
  • Early termination fees may apply as outlined in your Service Agreement

4. Client Responsibilities

4.1 Information Accuracy

You agree to provide accurate, current, and complete information when engaging our services.

4.2 Cooperation

You agree to:

  • Provide timely access to systems, networks, and facilities as needed
  • Respond to security recommendations and implement critical updates
  • Maintain appropriate user licenses for software and systems
  • Follow security policies and training provided by Unity Tech RGV

4.3 Prohibited Activities

You may not:

  • Use our services for illegal activities
  • Attempt to breach or circumvent security measures
  • Interfere with service delivery to other clients
  • Misrepresent your relationship with Unity Tech RGV

5. Intellectual Property

5.1 Unity Tech RGV Property

All content, trademarks, logos, and materials on unitytechrgv.com remain the exclusive property of Unity Tech RGV unless otherwise noted.

5.2 Web Design Deliverables

  • Upon full payment, clients receive ownership of custom website designs created specifically for them
  • Clients receive a license to use any templates, frameworks, or third-party components
  • Unity Tech RGV retains the right to showcase completed projects in our portfolio

5.3 Client Data

You retain all rights to your business data. We claim no ownership over your content, files, or information.


6. Service Levels and Support

6.1 Response Times

Response times vary by service tier:

  • Essential: 4-hour response during business hours
  • Business Protection: 2-hour response (business hours), 4-hour (after hours)
  • Enterprise Shield: 1-hour response (business hours), 2-hour (after hours)

6.2 Service Availability

While we strive for maximum uptime, Unity Tech RGV does not guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance when possible.

6.3 Emergency Support

Emergency definitions and protocols are outlined in your Service Agreement and vary by tier.


7. Limitation of Liability

7.1 Service Limitations

Unity Tech RGV provides professional IT services with reasonable skill and care. However:

  • We are not liable for losses resulting from circumstances beyond our reasonable control
  • Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or incidental damages

7.2 Cybersecurity Disclaimer

While we implement industry-standard security measures, no system is completely secure. Unity Tech RGV is not liable for security breaches resulting from:

  • Client failure to implement recommended security measures
  • Social engineering attacks targeting client employees
  • Zero-day vulnerabilities unknown at the time of the breach
  • Third-party service provider failures

7.3 Data Backup

We provide backup services as specified in your Service Agreement. Clients are responsible for verifying backup integrity and maintaining independent backups of critical data.


8. Confidentiality

Unity Tech RGV agrees to maintain the confidentiality of your business information and data. We will not disclose client information except:

  • As required by law or legal process
  • With your explicit written consent
  • To subcontractors bound by similar confidentiality obligations
  • In anonymized form for business analytics

9. Termination

9.1 Termination by Client

You may terminate services by providing 30 days’ written notice. Early termination fees may apply per your Service Agreement.

9.2 Termination by Unity Tech RGV

We reserve the right to terminate services immediately if:

  • Payment is more than 30 days overdue
  • You breach these Terms and Conditions
  • You engage in prohibited activities
  • Continuing service poses security or legal risks

9.3 Post-Termination

Upon termination:

  • Final invoices are due within 15 days
  • We will provide reasonable assistance with data retrieval (fees may apply)
  • Access to Unity Tech RGV systems and tools will be revoked
  • Confidentiality obligations continue indefinitely

10. Warranties and Disclaimers

10.1 Professional Standards

Unity Tech RGV warrants that services will be performed in a professional manner consistent with industry standards.

10.2 Disclaimer of Warranties

Except as expressly stated, services are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.


11. Indemnification

You agree to indemnify and hold Unity Tech RGV harmless from claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms and Conditions
  • Your violation of applicable laws or regulations
  • Content or data you provide to us

12. Modifications to Terms

Unity Tech RGV reserves the right to modify these Terms and Conditions at any time. We will notify active clients of material changes via email. Continued use of services after notification constitutes acceptance of modified terms.


13. Governing Law

These Terms and Conditions are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Hidalgo County, Texas.


14. Dispute Resolution

14.1 Informal Resolution

Parties agree to attempt informal resolution of disputes before pursuing legal action.

14.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.


15. Severability

If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall remain in full effect.


16. Entire Agreement

These Terms and Conditions, together with your Service Agreement, constitute the entire agreement between you and Unity Tech RGV regarding our services.
